Partner Program

Neurapix Creator Terms

Supplementary terms for participation in the Neurapix Partner Program ("PIX Partner Program"). These terms supplement the Image Editing Contract – Terms & Conditions of neurapix GmbH ("Main Contract"). In case of conflict regarding the Program, these Creator Terms prevail.

neurapix GmbH, Am Feuerschanzengraben 10, 37083 Göttingen, Germany — Geschäftsführung: Nils Sauder — Amtsgericht Göttingen, HRB 206286 — USt-IdNr. DE344733506 ("Neurapix", "we"). Contact for the Program: collaborations@neurapix.com.

1Scope; relationship to the Main Contract

1.1These Creator Terms govern participation in the PIX Partner Program (the "Program"), including referral commissions, promotion offers, the Partner Hub, content collaboration, the SmartPreset Store and the Learning Hub.

1.2Participation requires (a) an active Neurapix customer account under the Main Contract and (b) entrepreneur status (§ 14 BGB). The Program is B2B-only; consumers (§ 13 BGB) are excluded.

1.3Acceptance: by ticking the acceptance box in the Partner Hub (also on first login where an account was prepared administratively on the partner's request). No other Program action replaces acceptance.

1.4Individually negotiated partner agreements (e.g. bespoke sponsorships) and legacy referral agreements remain unaffected; their conditions attach to the respective referral code and continue unchanged.

2Definitions

"Partner Hub"
the Program area inside the Neurapix dashboard.
"Referral Code / Link"
the personal tracking code(s)/link(s) issued to the participant; conditions attach to the code, not the person.
"XP"
Program points reflecting activity; XP have no monetary value, are non-transferable and confer no entitlement (Clause 4.4).
"Levels"
Affiliate (Level 1), Advocate (Level 2), Legend/Master Educator (Level 3).
"Tracks"
Ambassador and Educator — curated designations awarded by Neurapix by invitation.
"Offer"
a specific promotion opportunity displayed to the individual participant in the Partner Hub, with its individual remuneration.
"Ledger"
Neurapix's records of accruals, credits and payouts, which are decisive subject to proof to the contrary.
"Referred Customer"
a new Neurapix customer attributed to the participant's Referral Code at registration.

3The Program; no entitlement; independence

3.1The Program rewards recommending Neurapix and creating content about Neurapix. Its current benefits, levels and mechanics are described in the Partner Hub.

3.2Offers, not entitlements: which Offers, campaigns, prices or perks a participant sees is decided by Neurapix in its discretion, individually per participant. Neurapix may add, change, pause or withdraw Offers and the action catalog at any time with effect for the future; accepted-and-performed actions remain remunerated under Clause 5.

3.3Level and Track changes are never automatic. Reaching an XP threshold creates eligibility only; every level change (up and down) and every Track designation is confirmed by Neurapix individually. There is no entitlement to a level, a Track, or their retention beyond these terms.

3.4The annual review (Clause 10) and the published thresholds may be adjusted for the future.

3.5The participant acts as an independent entrepreneur. Nothing in the Program creates an employment relationship, agency, partnership or the power to bind Neurapix. The participant has no obligation to promote, no sales targets, and remains free to work with competitors unless an individual agreement says otherwise.

3.6Nature of the referral activity; no commercial agency.

(a)Referral only. The participant's contribution to customer acquisition is limited to recommending Neurapix and making their Referral Code or Link available. The participant does not negotiate or conclude contracts on behalf of Neurapix and has no authority to do so, neither as representative nor as messenger. Referred Customers register themselves and contract directly and exclusively with Neurapix under Neurapix's standard terms; Neurapix alone decides whether and on which terms to accept a customer.

(b)No standing engagement. Participation does not constitute a continuing engagement to procure business for Neurapix. The participant is under no obligation to refer customers, to promote Neurapix, to pursue sales efforts, to meet targets or to report on market activity. Whether, when, where and how the participant recommends Neurapix is their free decision, subject only to the conduct and labelling rules in Clause 6 and to individual Offers the participant has expressly accepted in the Partner Hub; accepting an Offer creates an obligation for that specific action only.

(c)No territory, exclusivity or customer protection. No territory, customer group or exclusivity is assigned to the participant. Neurapix may acquire customers in any market directly or through other participants. The participant has no ownership of, or protection for, Referred Customers beyond the attribution rules in Clause 4.

(d)Remuneration capped per customer. Referral remuneration is limited per Referred Customer to the amount defined in Clause 4.1. It is not an ongoing share in the customer's revenue and does not remunerate the building-up or maintenance of a customer base for Neurapix.

(e)Secondary occupation. The participant confirms that recommending Neurapix is incidental to their main professional activity (typically photography, education or content creation).

(f)Termination. Either party may end participation in the Program at any time in accordance with Clause 12; remuneration already earned under Clauses 4 and 5 remains unaffected.

4Referral commissions

4.1For each Referred Customer, the participant earns the customer's net revenue actually paid to Neurapix up to the participant's individual referral amount (not a bonus on top). The referral amount depends on the participant's level and may be set individually per Referral Code; the referral amount applicable to the participant is shown in their Partner Hub, and Neurapix informs the participant of their referral amount and of any change in text form (e.g. Hub notice or e-mail). The referral amount applicable at the time the customer registers with the code applies to that customer permanently; changes apply only to customers registering afterwards.

4.2Accrual basis: paid invoices of the Referred Customer (net amounts). No commission accrues on registrations, activations, trials or free usage. Accruals build gradually until the customer's paid net revenue reaches the applicable referral amount (Clause 4.1).

4.3All Program amounts are denominated in EUR. Where marketing materials show other currencies (e.g. US dollars), these are approximations; the contractual amounts are the EUR figures in the Partner Hub. Foreign-currency customer payments count at the EUR amount settled to Neurapix.

4.4XP reflect Program activity as described in the Hub. XP values per action may change for the future; XP grant no payment claim.

4.5Network level (an additional amount, shown in the Partner Hub, of the subsequent net revenue of customers referred by partners whom the participant referred) exists only where individually activated by Neurapix in writing/text form; it confers no entitlement and may be revoked for the future.

4.6Reversals: commissions on payments that are refunded, charged back or otherwise reversed are corrected in the Ledger; already paid-out amounts may be offset against future accruals.

4.7Attribution follows the technical tracking of the Referral Code at customer registration; Clause 2 "Ledger" applies.

5Promotion Offers; performance and review

5.1An Offer states the action, any briefing (mandatory contents, do's/don'ts), the remuneration (EUR and/or XP) and any validity window. Acceptance occurs by performing the action and submitting proof via the Partner Hub.

5.2Nothing is credited automatically: remuneration accrues only after Neurapix reviews and approves the submitted proof. Neurapix may reject submissions that do not meet the briefing or these terms, or request changes; resubmission reopens the review.

5.3The remuneration fixed in the Offer at submission time ("reward snapshot") governs; later catalog changes do not affect it.

5.4Frequency limits, eligibility and per-participant pricing are internal Program mechanics; displayed Offers are binding for their stated window only.

6Conduct, advertising law, brand use

6.1The participant complies with all applicable law when promoting Neurapix, in particular advertising labeling duties (e.g. "Werbung"/"Anzeige"; for other markets the locally required disclosure, e.g. FTC guidelines). Briefing requirements to that effect are mandatory.

6.2Prohibited: misleading or unsubstantiated claims about Neurapix; spam or unsolicited bulk messaging; use of the code in coupon/deal networks without consent; self-referral and any artificial generation of commissions or XP (circumvention, related-account schemes); bidding on Neurapix trademarks in search advertising; registering domains or handles confusingly similar to Neurapix marks.

6.3Brand license: Neurapix grants a simple, non-exclusive, revocable, non-transferable right to use the provided Neurapix marks, badges and assets solely for Program purposes and per the brand guidelines/briefings. The license ends with Program participation or on revocation.

6.4Violations of Clause 6 entitle Neurapix to reject proofs, reverse tainted accruals, suspend the account (Clause 12) and — for material violations — terminate participation for cause.

7Content; licenses; publicity

7.1Participant content submitted to Neurapix (e.g. video material, imagery, quotes, portrait — "Submitted Content"): the participant grants Neurapix a non-exclusive, worldwide, sublicensable license for the duration of the participant's Program participation to use, edit (e.g. re-cuts, format adaptions), reproduce and publish the Submitted Content in Neurapix's channels (incl. paid promotion) for marketing and Program purposes. Post-term period: for Submitted Content that Neurapix has published before the end of participation, the license continues for 24 months after the end of participation for the continued use of those publications (incl. paid promotion already running at the end date); Neurapix will not make new publications of Submitted Content in the post-term period. Neurapix is not obliged to remove published content before the post-term period ends; copies in archives, backups and legally required records may be retained thereafter without further use.

7.2Attribution promise, no placement duty: where Neurapix publishes Submitted Content, it names the participant and links their listing/store as described in the Hub. Neurapix owes no publication, placement, timing or reach; whether and where content is used remains Neurapix's decision. No reach reporting is owed.

7.3Rights warranty; indemnity.

(a)The participant warrants that they hold all rights in the Submitted Content required for the license under Clause 7.1 — in particular copyrights and related rights, the rights of persons depicted (including their consent to the use of their image) and the rights to third-party material such as music, fonts, footage or artwork — and that the use of the Submitted Content as permitted under these terms does not infringe any third-party rights. Upon request, the participant provides evidence of these rights (e.g. model releases, license confirmations).

(b)The participant indemnifies Neurapix against all claims asserted by third parties against Neurapix on account of a breach of the warranty in (a), including the reasonable costs of legal defense, unless the participant is not responsible for the breach.

(c)Neurapix informs the participant of any such claim in text form without undue delay, does not acknowledge or settle the claim without the participant's consent (which may not be unreasonably withheld) and gives the participant the opportunity to take part in the defense. The participant supports Neurapix in the defense with all information and documents available to them.

(d)Neurapix may stop using the affected Submitted Content as soon as an infringement is asserted. Further rights and claims of Neurapix remain unaffected.

7.4Publicity: the participant consents to being presented as a Program partner (name, portrait, brand, quote, genres) in Neurapix channels, e.g. the partner introduction and the partner directory. Consent is revocable for the future; Clause 7.1 remains unaffected for content already published. Fields marked "team-only" in the Hub are never published.

7.5Paid productions commissioned by Neurapix are governed by the individual Offer (scope/licensing stated there); unless stated otherwise, Clause 7.1–7.3 apply.

8Taxes

8.1The participant is responsible for taxation of their Program income (income tax, VAT, social contributions where applicable) in their jurisdiction.

8.2All Program amounts are net amounts. Where the participant is liable to charge VAT on their Program remuneration, the applicable statutory VAT is added on top of the net amount and paid out together with it (example: 412.00 € net + 19 % VAT = 490.28 € paid). Where no VAT is charged (small-business status under § 19 UStG or comparable, or reverse charge, Clause 8.3), the net amount is paid.

8.3The participant provides and keeps current the tax master data requested at payout setup (business name, address, VAT ID or small-business status). Reverse-charge cases (Art. 196 Directive 2006/112/EC; § 13b UStG) are documented on the credit note.

9Credits, payout, self-billing

9.1Level 1: accruals are credited as Neurapix credit and automatically net the participant's own invoices; no cash payout. In deviation from Clause 6.3 of the Main Contract, Program credit follows these Creator Terms. — Level 2 Advocates choose in the Hub between cash payout and automatic credit netting (switchable for the future). — Ambassadors/Educators: cash payout.

9.2Cash payouts run monthly (assembly on the 15th) for balances of at least 50 € with a set-up payout method. The payout methods available to the participant (e.g. Stripe Connect, PayPal or bank transfer) depend on the participant's country and are shown in the Partner Hub; Neurapix may add, change or discontinue payout methods with effect for the future. Balances below the minimum or without a method roll over — accrued balances do not expire during participation.

9.3Payouts are made in EUR; any currency conversion is carried out by the payout provider or the participant's bank at their conditions. Estimates shown in the Hub ("≈ $…") are informational only. No interest on balances.

9.4Payout requires truthful payout and identification data (including KYC data where the payout method or provider requires it); Neurapix may withhold payouts while legally required checks are pending or where accruals are under review for violations (Clause 6.4).

9.5The Ledger and the monthly statement in the Hub document accruals and payouts; objections should be raised within 8 weeks — statutory rights remain unaffected.

9.6Self-billing: the parties agree that Neurapix issues the invoices for the participant's Program remuneration by way of credit notes (Gutschriften, § 14 Abs. 2 S. 3 UStG) with each payout run; the participant will not invoice separately. Credit notes are provided in the Partner Hub (permanent archive) and referenced by e-mail. The participant will promptly review credit notes and object to errors; in case of objection the credit note loses its effect as an invoice to the extent of the objection. The participant keeps the Clause 8.3 data current so credit notes are correct.

10Level retention, downgrades, curated benefits

10.1Levels are reviewed annually (anniversary-based). The retention criterion published in the Hub (currently 1,000 XP per rolling 12 months) applies; a miss may lead to a downgrade of at most one level, confirmed individually.

10.2On a confirmed downgrade: the lower referral amount applies to customers referred after confirmation (existing attributions keep their referral amount); curated benefits tied to a higher status may lapse per Clause 10.3.

10.3Curated benefits (community coupon, partner introduction, Free Unlimited, featured offers, store access, Learning Hub, merch, paid promotion) are Track benefits granted by decision of Neurapix; they may be granted, modified or revoked with effect for the future. Free Unlimited is granted in 12-month terms and is never cut mid-term — revocation operates as non-renewal at the end of the granted term. The community coupon is deactivated when the underlying status ends.

10.4Benefits have no cash value and are not compensable in money unless expressly stated.

11SmartPreset Store and Learning Hub

11.1Listing SmartPresets in the Neurapix Store and courses in the Learning Hub is by individual admission and subject to review of each listing.

11.2Settlement never runs through Neurapix: sales are concluded and settled between the participant and the buyer via the stated sales platform (e.g. FastSpring as the participant's reseller/merchant of record) or the participant's own shop. The participant receives 100 % of the sale revenue minus third-party transaction costs; Neurapix charges no fee. The participant is solely responsible for their offers, pricing, buyer-side terms, consumer rights and taxes on such sales.

11.3Neurapix may edit listing presentation for consistency, and may pause or remove listings (e.g. quality, legal concerns) with effect for the future. Outbound clicks may be counted; no sales or ranking promises are made.

11.4For course listings, Clause 7.3 (rights warranty) applies to covers/materials; the displayed price is the participant's own statement.

12Term, suspension, termination

12.1Participation runs indefinitely. Either party may end participation at any time in text form or via the account (termination of the Main Contract ends participation automatically).

12.2Neurapix may suspend Program functions or withhold disputed accruals during investigations of suspected violations (Clause 6, 4.6); confirmed violations entitle termination for cause.

12.3Wind-down: upon ending, (a) codes stop attributing new customers; (b) accruals already earned on existing Referred Customers up to the end date are settled with the following payout run(s); (c) properly earned balances above 0 € are paid out with the next run irrespective of the 50-€ minimum; (d) licenses per Clause 6.3 end; the Clause 7.1 license continues for 24 months for Submitted Content published before the end date (post-term period, Clause 7.1); (e) curated benefits end per Clause 10.3.

12.4Fraudulently obtained accruals are void and may be reclaimed.

13Data protection

13.1Processing of the participant's data is described in the Neurapix privacy policy (supplemented by a Program section). This includes: Program profile data; performance data (Ledger, XP); payout data shared with payout providers and banks (e.g. Stripe, PayPal) and, for accounting, credit-note data.

13.2Fields marked "team-only" in the Hub (e.g. personal notes) are used internally only and never published.

14Liability

Liability follows Clause 12 of the Main Contract accordingly (unlimited for injury to life, body or health, intent and gross negligence; otherwise limited to breach of essential obligations, foreseeable typical damage).

15Amendments to these Creator Terms

Amendments follow the mechanism of Clause 15 of the Main Contract (announcement in text form with six weeks' notice; objection/termination right; consent-fiction only within the limits of case law). Program content (catalog, Offers, benefits, thresholds) may change at any time per Clause 3.2–3.4 and is not an amendment of these terms.

16Final provisions

16.1German law applies, excluding the CISG. Exclusive place of jurisdiction for merchants: Göttingen.

16.2Should individual provisions be invalid, the remainder stays effective.

16.3These Creator Terms are provided in several languages. In case of any discrepancy or inconsistency between the language versions, the English version prevails.
